  • Terms of Service

These Terms of Service ("Terms") govern the use of the online marketplace "Open Bridge Market" (the "Service") operated by Open Bridge Solutions Sdn. Bhd., a company incorporated in Malaysia (the "Operator"), and set out the terms of purchases made through the Service from TRIPLEX LLC, a company incorporated in Japan (the "Seller of Record"). The Operator and the Seller of Record are together referred to as "we" or "us". By registering for or using the Service, you agree to these Terms.

1. Application

These Terms apply to (a) the relationship between the Operator and Users and Sellers regarding use of the Service, (b) the relationship between the Seller of Record and Users regarding purchases, and (c) the relationship between the Seller of Record and Sellers regarding the sale of AI Products.

2. Definitions

  1. "User" means any person who purchases an AI Product through the Service.
  2. "Seller" means any person who lists AI Products on the Service.
  3. "AI Product" means prompts, AI agents, applications, and any other digital content listed by a Seller on the Service.
  4. "Service" means the Open Bridge Market website operated by the Operator and its related features.
  5. "Operator" means Open Bridge Solutions Sdn. Bhd., which develops and operates the Service.
  6. "Seller of Record" means TRIPLEX LLC, which is the contracting party for the sale of AI Products on the Service and collects payment.
  7. "Purchase Contract" means the contract for the sale or license of an AI Product between a User and the Seller of Record.
  8. "Stripe" means Stripe, Inc. and its affiliates (including Stripe Japan K.K.), the payment service provider used by the Seller of Record.

3. Account Registration

  1. Anyone wishing to use the Service must register in the manner set by the Operator.
  2. Applicants must provide true, accurate, and up-to-date information.
  3. Users and Sellers are responsible for keeping their account credentials (ID, password, etc.) secure and must not allow third parties to use them, or lend, transfer, rename, or sell their account.
  4. Users may create a purchasing account with a username and email address. Sellers may not publish any AI Product until they complete Stripe onboarding under Section 4-2.

4. Seller Obligations

When listing an AI Product, Sellers must:

  1. Confirm that the AI Product was created by the Seller, or that the Seller holds the legitimate right to sell it on the Service, and not list any AI Product that infringes the copyright, trademark, patent, or other intellectual property rights or other rights of any third party.
  2. Check the quality of the AI Product before listing it, so that there is no discrepancy between the product description and its actual content, specifications, and performance.
  3. Ensure that the profile information published on the Service (including qualifications, track record, background, and areas of expertise) contains no false statements.
  4. Take responsibility for the quality, content, functionality, and performance of any AI Product listed.

4-2. Sale on Behalf of Sellers and Stripe Connect

  1. By listing an AI Product, the Seller grants the Seller of Record the right to sell or license that AI Product to Users through the Service.
  2. For the time being, only individuals residing in Japan and entities with a place of business in Japan may list AI Products.
  3. Payment processing services for Sellers on Open Bridge Market are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a Seller on Open Bridge Market, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time.
  4. As a condition of the Seller of Record enabling payment processing services through Stripe, you agree to provide accurate and complete information about you and your business, and you authorize the Seller of Record to share it and transaction information related to your use of the payment processing services provided by Stripe. Stripe verifies Sellers' identity (identity documents, bank account details, etc.), and this information is not stored on our servers.
  5. The Seller of Record pays the Seller, through Stripe, the sale price (including consumption tax) less the platform fee (20% of the sale price) — that is, 80% of the sale price. This amount is recorded in the Seller's Stripe balance at the time of purchase and is paid out to the Seller's bank account, under the Stripe Services Agreement, after 31 days have passed from the purchase date.
  6. If a refund or chargeback occurs, the Seller of Record may reverse, through Stripe, the amount recorded in the Seller's Stripe balance under the previous paragraph, or deduct it from future payments.
  7. Sellers are responsible for filing and paying their own income tax, consumption tax, and other taxes on their sales.

5. Purchase and Payment

  1. A Purchase Contract is formed between the User and the Seller of Record when the User completes checkout and payment is completed.
  2. Users pay by the methods designated by the Seller of Record (credit and debit cards, Apple Pay, Google Pay, etc., through Stripe Checkout).
  3. Prices are shown in Japanese yen, including consumption tax. Users outside Japan may see and pay prices in their local currency through Stripe, in which case Stripe's conversion terms apply.
  4. Further terms of sale are set out in our Legal Notice (Act on Specified Commercial Transactions).

6. Intellectual Property and Scope of License

  1. Copyright and other intellectual property rights in a purchased AI Product remain with the Seller or the rightful owner, unless otherwise expressly stated.
  2. Under the Purchase Contract, Users may use a purchased AI Product for their own business or personal purposes, within the scope of the license granted by the Seller through the Seller of Record.
  3. Unless expressly permitted by the Seller, Users may not reproduce, republish, redistribute, resell, lend, or transfer to any third party any purchased AI Product, in whole or in part.

7. Refunds

Because AI Products are digital content, they cannot be returned. However, if you request a refund within 30 days of purchase, the Seller of Record will refund you in accordance with our Refund Policy. A refund cancels the Purchase Contract, and your right to use the AI Product ends.

8. Prohibited Conduct

Users and Sellers must not:

  1. Violate any law or public order and morals.
  2. Infringe the intellectual property rights, publicity rights, privacy, or other rights of us, other Users, Sellers, or any third party.
  3. Display false information in profiles, product descriptions, or other content on the Service.
  4. Reproduce, redistribute, or resell listed AI Products without authorization.
  5. Interfere with, or risk interfering with, the operation of the Service.
  6. Abuse the refund policy (for example, requesting a refund after copying an AI Product, or repeatedly purchasing and refunding).
  7. Engage in any other conduct that we consider inappropriate.

9. Disclaimer

  1. The Operator makes no warranty, express or implied, as to the content, quality, accuracy, usefulness, or fitness for a particular purpose of any AI Product. Sellers are responsible for the quality and content of their AI Products.
  2. Outputs of AI Products may change due to updates to third-party AI services, and we do not guarantee any particular result.
  3. The Seller of Record handles all matters concerning Purchase Contracts with Users, including refunds. The Operator is not a party to Purchase Contracts and is responsible only as the provider of the Service.
  4. Except in cases of our willful misconduct or gross negligence, we are not liable for indirect, special, or consequential damages, lost profits, or data loss arising from the use of AI Products.

10. Limitation of Liability

Except in cases of our willful misconduct or gross negligence, our total liability to a User or Seller arising out of these Terms or the Service is limited to the amount paid by the User in the transaction that gave rise to the damage (or, for a Seller, the amount received by the Seller in that transaction).

11. Suspension and Restriction of Use

The Operator may, without prior notice, suspend a User's or Seller's account or cancel their registration if it determines that they have violated these Terms.

12. Changes to These Terms

We may amend these Terms as we consider necessary, after giving advance notice by posting on the Service or by other appropriate means. The amended Terms apply from the effective date stated in the notice.

13. Governing Law and Jurisdiction

  1. These Terms and all Purchase Contracts are governed by the laws of Japan.
  2. The Tokyo District Court has exclusive jurisdiction as the court of first instance over any dispute arising from these Terms or the Service, except where a User who is a consumer is entitled by law to bring or defend proceedings in another court.

14. Contact
